Refund Policy

1. Service Delivery Model

OmniVertexGlobal, operating from C. María Sevilla Diago 24A, Madrid, Madrid, España, España, delivers IT consulting services under a milestone-based engagement model. Payment schedules are defined in the executed Service Agreement and are tied to deliverable completion.

2. Refund Eligibility

Refund requests are evaluated under the following conditions:

  • Pre-Execution Cancellation: If cancellation occurs before any work has commenced, a full refund of any advance payment shall be issued within fourteen (14) business days.
  • Partial Execution: If cancellation occurs after partial milestone completion, the client shall be invoiced proportionally for completed work. Any overpayment shall be refunded within thirty (30) business days.
  • Post-Execution: No refunds shall be issued after the final deliverable has been accepted and signed off by the client.

3. Non-Refundable Items

The following are non-refundable: third-party software licenses procured on behalf of the client, domain registration fees, cloud infrastructure costs already provisioned, and any pre-approved consulting hours that have been consumed.

4. Dispute Resolution

Refund disputes shall first be addressed through direct negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be submitted to the jurisdiction of the courts of Madrid, España, in accordance with Spanish consumer protection legislation (Real Decreto Legislativo 1/2007).

Terms of Service

1. Acceptance of Terms

By engaging the services of OmniVertexGlobal, located at C. María Sevilla Diago 24A, Madrid, Madrid, España, España, the client accepts and agrees to be bound by these Terms of Service. These terms constitute the entire agreement between the parties and supersede all prior negotiations, representations, and agreements.

2. Scope of Services

Services are defined exclusively within the executed Service Agreement. OmniVertexGlobal shall provide IT consulting services as specified in the applicable statement of work. Any modifications to the scope require written amendment signed by both parties.

3. Payment Terms

Invoices are issued according to the milestone schedule defined in the Service Agreement. Payment is due within fifteen (15) calendar days of invoice date. Late payments shall incur a statutory interest rate as defined by the European Central Bank plus eight (8) percentage points, in accordance with Directive 2011/7/EU on late payments in commercial transactions.

4. Intellectual Property

Upon full payment, all deliverables produced specifically for the client under the engagement shall transfer intellectual property rights to the client. OmniVertexGlobal retains the right to use generalized methodologies, frameworks, and non-proprietary knowledge acquired during the engagement.

5. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information disclosed during the engagement. This obligation survives the termination of the agreement for a period of three (3) years. Confidential information shall not be disclosed to third parties without prior written consent.

6. Limitation of Liability

OmniVertexGlobal's total aggregate liability under any engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim. OmniVertexGlobal shall not be liable for indirect, incidental, consequential, or punitive damages.

7. Termination

Either party may terminate the agreement with thirty (30) days written notice. OmniVertexGlobal may terminate immediately in the event of material breach, including non-payment. Upon termination, the client shall pay for all work completed up to the termination date.

8. Governing Law

These Terms of Service are governed by the laws of the Kingdom of España. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Madrid, España.
